1.2 Definitions
In these Terms, the following terms have the meanings below:
- “TOS” or “Terms”: These Terms of Service and Use
- “Service” or “Platform”: The Senhub.io iPaaS solution enabling collection and transmission of monitoring metrics
- “Company”: SENSOR FACTORY SAS, publisher of the Service
- “Customer”: Any legal entity that has subscribed to a Service offer
- “User”: Any individual authorized by the Customer to use the Service
- “Account”: Administration space for managing Connectors and access
- “Connector”: Software module enabling metric collection from a third-party source
- “Metrics”: Monitoring data collected and transmitted by Connectors
- “API”: Programming interface allowing Service interrogation
- “Monitoring Tool”: Customer’s third-party monitoring solution (Datadog, Nagios, Zabbix, etc.)
- “Provider”: Third-party cloud service source of metrics (AWS, Azure, Google Cloud, etc.)
- “Plan”: Subscription plan defining usage limits
ARTICLE 2 – PURPOSE AND ACCEPTANCE
2.1 Purpose
These Terms govern the use of Senhub.io, an iPaaS platform specialized in collecting and transmitting monitoring metrics. The Service extends existing monitoring capabilities without developing or maintaining proprietary connectors.
2.2 Acceptance and Contractual Hierarchy
Use of the Service implies unreserved acceptance of these Terms. In case of contradiction between documents, the order of priority is:
- Specific signed contract (enterprise accounts)
- These TOS
- Privacy Policy
- Technical Documentation
2.3 Modification of Terms
The Company reserves the right to modify these Terms. Substantial modifications will be notified with 30 days’ notice. Continued use constitutes acceptance of new terms.
ARTICLE 3 – SERVICE DESCRIPTION
3.1 Main Features
The Service includes:
- Library of pre-configured connectors for cloud services and applications
- On-demand metric collection from Monitoring Tool
- Transformation and enrichment of raw data
- Metric transmission in Monitoring Tool’s native format
- Web configuration and management interface
- REST API for integration
- Technical documentation and implementation examples
3.2 Nature of Service
Senhub.io operates in “stateless” flow mode:
- No permanent storage of collected metrics
- Real-time transmission to Monitoring Tool
- Temporary storage of configurations only
- Access logs retained for maximum 30 days
3.3 Service Limitations
The Service does NOT include:
- Storage or historization of metrics
- Data analysis or alerting
- Guarantee of third-party Provider API availability
- Resolution of Monitoring Tool issues
ARTICLE 4 – ACCOUNT CREATION AND MANAGEMENT
4.1 Registration
Registration requires:
- Company name and business information
- Valid professional email
- Acceptance of these Terms
- Email address validation
4.2 Authentication
The Service offers several authentication modes:
- Internal database with username/password
- OAuth 2.0 via Google Workspace
- OAuth 2.0 via Microsoft Azure AD

4.3 Account Security
The Customer is responsible for:
- Confidentiality of credentials
- User access management
- Immediate notification in case of suspected compromise
- Actions performed through their Account
ARTICLE 5 – COMMERCIAL OFFERS AND PRICING
5.1 Available Plans
Plan details (pricing, limits) are available on senhub.io. Each plan defines:
- Maximum number of simultaneous Connectors
- Types of accessible Connectors
- Included support level
- Available advanced features
5.2 Free Trial
- Duration: Maximum 10 days
- Activation: Automatic upon registration
- Limitations: According to Discovery plan
- Conversion: Subscription required to continue
5.3 Pricing and Billing
- Frequency: Annual billing
- Terms: Payment in advance
- Price revision: Minimum 60 days’ notice
- Currency: Euros excluding VAT (VAT applicable per regulations)
5.4 Exceeding Limits
When Plan limits are reached:
- Unable to create new Connectors
- Customer notification
- Plan upgrade proposal
- No automatic surcharge
ARTICLE 6 – PAYMENT TERMS
6.1 Methods
- Accepted means: Bank transfer, SEPA direct debit, credit card
- Payment terms: Net 30 days from invoice date
- Late payment penalties: ECB rate + 10 points
- Fixed compensation: €40 for collection costs
6.2 Payment Default
In case of non-payment after formal notice:
- Service suspension within 15 days
- Account deletion after 30 days
- Recovery of amounts due
- Re-registration prohibited
6.3 Dispute
Any dispute must be reported within 30 days. Undisputed amounts remain due.
ARTICLE 7 – SERVICE LEVEL COMMITMENTS
7.1 Availability
- Indicative target: 99.9% monthly availability
- Calculation: Excluding planned maintenance and external causes
- Non-contractual: No penalties for non-achievement
- Measurement: Company’s internal monitoring
7.2 Performance
- Average latency: ~20ms (indicative value)
- Collection frequency: Determined by Monitoring Tool
- Rate limiting: According to third-party Provider limits
7.3 Maintenance
- Planned: At night (10 PM-6 AM CET), 48h notification
- Emergency: Without notice for security/critical issues
- Impact: Possible Service interruption
ARTICLE 8 – TECHNICAL SUPPORT
8.1 Available Channels
- Email: support@senhub.io
- Chat: Via web interface (if available)
- Portal: Tickets and online tracking
- Documentation: Online knowledge base
8.2 Hours and Response Times
Standard support (included in all plans):
- Hours: 9 AM-6 PM, business days, French time
- Acknowledgment: 30 minutes
- First response: 1 business hour
- Average resolution: 4 business hours
8.3 Support Scope
Included:
- Connector configuration assistance
- Service incident resolution
- API guidance
- Documentation questions
Excluded:
- Third-party Monitoring Tool configuration
- Custom development (except specific contract)
- In-depth training
- Provider-related issues
ARTICLE 9 – DATA AND CONFIDENTIALITY
9.1 Data Ownership
- Customer retains ownership of configurations
- Metrics transit without storage
- Company acquires no rights to data
9.2 Data Protection
- GDPR compliance (see Privacy Policy)
- Complete multi-tenant isolation
- Communication encryption (HTTPS/TLS)
- Access logs: 30-day maximum retention
9.3 Location and Transfers
- Hosting: France (OVH)
- Transfers outside EU possible depending on Providers used
- Standard contractual clauses applied if necessary
9.4 Backups
- Configurations: Backup every 4 hours
- Restoration: Upon request in case of incident
- Export: Possible upon request before termination
ARTICLE 10 – INTELLECTUAL PROPERTY
10.1 Company Rights
The Company retains all rights to:
- Service source code
- Developed Connectors
- Documentation
- Trademarks and logos
- Methods and algorithms
10.2 Usage License
Customer receives a non-exclusive, non-transferable license, limited to subscription duration, to use the Service in accordance with these Terms.
10.3 Custom Developments
Custom Connectors developed on quotation:
- Remain Company property unless otherwise agreed
- May be integrated into general catalog
- Subject to usage license for commissioning Customer
ARTICLE 11 – LIABILITY
11.1 Company Obligations
The Company undertakes to:
- Provide the Service with professional diligence
- Maintain infrastructure in operational condition
- Ensure support according to defined terms
- Inform of planned maintenance
11.2 Liability Limitations
The Company cannot be held liable for:
- Third-party Provider failures
- API-imposed rate-limiting
- Loss of unstored metrics
- Indirect or consequential damages
- Monitoring Tool issues
11.3 Liability Cap
Except for gross negligence or willful misconduct, total liability is limited to amounts paid by Customer over the last 12 months.
11.4 Insurance
The Company has professional liability insurance of 8 million euros.
ARTICLE 12 – CUSTOMER OBLIGATIONS
12.1 Compliant Use
The Customer undertakes to:
- Use the Service according to its purpose
- Respect Plan limits
- Not circumvent security measures
- Respect third-party Provider conditions
12.2 Technical Responsibilities
The Customer is responsible for:
- Monitoring Tool configuration
- Managing Provider-side rate-limiting
- Third-party API access credentials
- Usage compliance
12.3 Prohibitions
It is prohibited to:
- Resell or sublicense the Service
- Perform reverse-engineering
- Use the Service for illegal purposes
- Intentionally overload infrastructure
ARTICLE 13 – DURATION AND TERMINATION
13.1 Duration
- Trial: Maximum 10 days
- Subscription: Annual, automatic renewal
- Non-renewal notice: 60 days before expiry
13.2 Customer Termination
- For convenience: At expiry with notice
- No refund: Paid period remains due
- Configuration export: Upon request
13.3 Company Termination
Immediate termination possible for:
- Non-payment after formal notice
- Serious Terms violation
- Fraudulent or abusive use
- Court decision
13.4 Consequences
Upon termination:
- Access removal
- Configuration deletion within 30 days
- No recovery possible after deletion
ARTICLE 14 – FORCE MAJEURE
14.1 Definition
Unforeseeable and irresistible events including:
- Natural disasters
- Pandemics and epidemics
- Massive cyberattacks
- Major Internet failure
- Acts of war or terrorism
14.2 Effects
- Suspension of affected obligations
- Prompt mutual notification
- Search for alternative solutions
- Normal resumption as soon as possible
ARTICLE 15 – GENERAL PROVISIONS
15.1 Governing Law
These Terms are governed by French law, notwithstanding conflict of law rules.
15.2 Competent Jurisdiction
B2B Disputes:
- Mandatory attempt at amicable resolution (60 days)
- Mediation possible
- Arbitration according to Nantes-Saint-Nazaire CCI rules
- Otherwise: Nantes Commercial Court
15.3 International Application
For Customers outside France/EU:
- These Terms apply
- Compliance with embargoes and export restrictions
- Compliance with local laws under Customer responsibility
15.4 Severability Clause
If a clause is declared void, others remain applicable. Parties will negotiate in good faith for a replacement clause.
15.5 Non-Waiver
Failure to exercise a right does not constitute a waiver to exercise it later.
15.6 Entire Agreement
These Terms constitute the entire agreement and replace any prior agreement.
ARTICLE 16 – PERSONAL DATA PROTECTION
16.1 Reference
Personal data processing is governed by our Privacy Policy available at senhub.io/fr/politique-de-confidentialite/
16.2 DPA (Data Processing Agreement)
For metrics containing personal data, Sensor Factory acts as a data processor. A DPA compliant with GDPR Article 28 is available upon request at privacy@senhub.io and recommended for all B2B customers.
